Terms of Service for GTM Simplified

Welcome to GTM Simplified! These Terms of Service ("Terms") govern your access to and use of the content and services provided by GTM Simplified ("we," "us," or "our") through the Substack platform.

Please read these Terms carefully before accessing or using our content. By subscribing to, accessing, or using any content from GTM Simplified, you agree to be bound by these Terms. If you do not agree to all the terms and conditions of this agreement, then you may not access the website or use any services.

1. Definitions

• "Substack": Refers to the platform provided by Substack, Inc., through which our content is published and distributed.

• "Content": Refers to all articles, posts, newsletters, frameworks, methodologies, analyses, insights, writing, text, graphics, images, audio, video, and any other materials published or made available by us on GTM Simplified.

• "Frameworks": Refers specifically to any structured approaches, methodologies, models, templates, or step-by-step guides presented as part of the Content.

• "Subscriber": Refers to any individual who has subscribed to GTM Simplified, whether for free or as a paid subscriber.

• "Personal Use": Refers to the use of Content by an individual Subscriber for their own professional development, learning, and application within their current job or internal business operations, without any intent or action of commercial redistribution or resale.

• "Commercial Use": Refers to any use of the Content for commercial purposes, including but not limited to, resale, redistribution, licensing, sublicensing, creating derivative works for sale, or incorporating the Content into products or services offered to third parties for financial gain.

2. Acceptance of Terms

By accessing or using our Content, you confirm that you are at least 18 years of age and agree to be bound by these Terms. If you are accessing or using the Content on behalf of an organization, you are agreeing to these Terms for that organization and warrant that you have the authority to bind that organization to these Terms.

3. Intellectual Property Rights

All Content published on GTM Simplified, including all Frameworks and writing, is and remains the exclusive property of GTM Simplified and its licensors. The Content is protected by copyright, trademark, and other laws of [Your Country/State, e.g., the United States and Illinois] and international treaties.

You acknowledge and agree that you do not acquire any ownership rights in any Content by accessing or using it.

4. Grant of License (Permitted Use)

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Read and access the Content for your personal enjoyment and learning.

• Use the Frameworks and writing for Personal Use: This specifically includes applying the methodologies, insights, and information gained from the Content to improve your own work, professional skills, and internal business operations within the organization where you are employed. You may share insights derived from the Content with colleagues within your organization for internal purposes, provided such sharing does not constitute Commercial Use as defined herein.

5. Restrictions on Use (Prohibited Use)

You may not do any of the following:

• Resell or Redistribute: You may not reproduce, duplicate, copy, sell, resell, distribute, publish, or otherwise exploit any portion of the Content, including Frameworks and writing, for any Commercial Use. This includes, but is not limited to, bundling the Content with other materials for sale, offering the Content as a service to third parties, or distributing the Content to external clients or customers.

• Public Display or Performance: You may not publicly display, perform, or transmit any Content, except as explicitly permitted for Personal Use within your organization.

• Sublicense: You may not sublicense, lease, rent, or otherwise transfer any rights to the Content to any third party.

• Create Derivative Works for Commercial Use: You may not create derivative works from the Content, including adapting, modifying, or transforming the Frameworks or writing, with the intent to sell, license, or commercially exploit such derivative works.

• Remove or Alter Attribution: You may not remove, alter, or obscure any copyright, trademark, or other proprietary rights notices from the Content.

• Circumvent Access Controls: You may not circumvent, disable, or otherwise interfere with any security-related features of Substack or features that prevent or restrict use or copying of any Content or enforce limitations on use of the Content.

• Use for Public Training/Consulting: You may not use the Content or Frameworks to develop or deliver public training programs, workshops, or consulting services where the Content forms a substantial part of the offering, unless explicitly authorized by a separate written agreement with us.

• Scraping or Data Mining: You may not use any automated system, including "robots," "spiders," or "offline readers," to access the Content in a manner that sends more request messages to the Substack servers than a human can reasonably produce in the same period by using a conventional web browser.

6. User Conduct

You agree to use GTM Simplified and its Content only for lawful purposes and in a way that does not infringe the rights of, restrict or inhibit anyone else's use and enjoyment of GTM Simplified. Prohibited behavior includes harassing or causing distress or inconvenience to any other user, transmitting obscene or offensive content, or disrupting the normal flow of dialogue within GTM Simplified.

7. Disclaimer of Warranties

The Content on GTM Simplified is provided "as is" and "as available" without any warranties of any kind, either express or implied, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Content will be accurate, complete, reliable, current, or error-free. The information provided is for general informational and educational purposes only and does not constitute professional advice.

8. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall GTM Simplified, its affiliates, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Content; (ii) any conduct or content of any third party on the Content; (iii) any content obtained from the Content; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

9. Indemnification

You agree to defend, indemnify, and hold harmless GTM Simplified and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of (a) your use and access of the Content, by you or any person using your account and password; or (b) a breach of these Terms.

10. Termination

We may terminate or suspend your access to our Content immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Content will immediately cease.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of Illinois, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Content after those revisions become effective, you agree to be bound by the revised terms.
